Mobile App Terms and Conditions
Last Updated: August 28, 2026
These Mobile App Terms and Conditions (the “Terms”) are a legal agreement between Highway Miles LLC (the “Company,” “Highway Miles,” “we,” “us,” or “our”) and the person who accesses or uses the Highway Miles mobile application, website, routing and navigation features, route-sharing features, or related services (the “User” or “you”). Collectively, those products and services are the “Services.”
By creating an account, selecting an acceptance control presented by Highway Miles, starting or using navigation, purchasing a subscription, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
IMPORTANT: These Terms contain a binding individual arbitration agreement, class-action waiver, and jury-trial waiver in Section 20, subject to the exceptions and 30-day opt-out right described there. Please read Section 20 carefully.
TERMS AND CONDITIONS.
1. ELIGIBILITY, ACCEPTANCE, AND APP-STORE TERMS.
(a) You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services. You represent that the information you provide to Highway Miles is accurate and that your use of the Services complies with applicable law.
(b) If you downloaded the application through the Apple App Store, Apple's Standard End User License Agreement applies to the license of the application because Highway Miles does not provide a custom EULA in App Store Connect. These Terms supplement, and do not replace, Apple's Standard EULA. If there is a conflict concerning the App Store license itself, Apple's Standard EULA controls to the extent of that conflict. Apple's Standard EULA is available at Apple's Standard License Agreement.
(c) If you obtained the application through Google Play or another authorized distribution platform, your use of that platform may also be subject to the platform's applicable terms. These Terms govern your relationship with Highway Miles and your use of the Highway Miles Services.
(d) If you use the Services on behalf of a company, motor carrier, fleet, employer, or other organization, you represent that you have authority to bind that organization to these Terms to the extent applicable. If you do not have that authority, you may use the Services only in your individual capacity.
(e) Use of the Services does not create an employment, agency, partnership, joint-venture, motor-carrier, broker, dispatcher, fiduciary, or professional-advisor relationship between you and Highway Miles.
2. LICENSE AND INTELLECTUAL PROPERTY.
(a) Subject to these Terms and any applicable app-store license, Highway Miles grants you a limited, personal, revocable, non-exclusive, non-transferable right to access and use the Services for lawful purposes.
(b) The Services, including software, source code, databases, routing logic, designs, graphics, text, trademarks, logos, data compilations, and other content owned by Highway Miles, are protected by intellectual-property laws. Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, distribute, sell, sublicense, scrape, reverse engineer, decompile, disassemble, circumvent technical protections, or create derivative works from the Services.
(c) Third-party maps, routing data, traffic data, weather data, points of interest, imagery, and other third-party content remain subject to the rights and terms of their respective providers.
3. ACCOUNTS AND USER RESPONSIBILITIES.
(a) You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. You must promptly notify Highway Miles if you believe your account has been compromised.
(b) You are responsible for keeping account information reasonably current and for ensuring that any vehicle, truck, trailer, load, route, or operational information you provide is accurate for the trip being planned or driven.
(c) You may not impersonate another person, access another User's account without authorization, or use the Services in a manner that interferes with or harms the Services, Highway Miles, another User, or a third party.
4. COMMERCIAL-TRUCK NAVIGATION AND TRUCK PROFILE.
(a) Highway Miles is a commercial-truck route-planning and navigation aid. It does not replace the professional judgment of a licensed driver, motor carrier, dispatcher, permit service, law-enforcement officer, road authority, or other qualified person responsible for determining whether a particular vehicle or load may lawfully and safely use a roadway.
(b) You are solely responsible for entering and maintaining an accurate truck profile, including all dimensions, weights, axle-related values, trailer or combination characteristics, and other routing parameters requested by the Services. You must verify the profile before relying on a route and update it whenever the vehicle, trailer, load, configuration, or applicable restriction changes. Default or previously saved values must not be assumed to match the current vehicle or load.
(c) A route generated by Highway Miles is based on the information available to the Services and the truck profile supplied to the routing system. Incorrect, incomplete, outdated, or inapplicable truck-profile information can produce an unsafe, unlawful, or unsuitable route.
5. ROUTE REVIEW, RESTRICTIONS, BRIDGES, AND OFFICIAL REQUIREMENTS.
(a) You must review a proposed route before driving it and continuously evaluate the route against actual roadway conditions, posted signs, official restrictions, permits, carrier instructions, and your knowledge of the vehicle and load.
(b) Bridge-clearance, height, weight, width, length, axle, turn, lane, seasonal, construction, closure, truck-prohibition, and other restriction information may be incomplete, inaccurate, delayed, changed, or unavailable. Actual clearance or accessibility may also be affected by resurfacing, construction, temporary structures, lane configuration, weather, roadway damage, or other physical conditions that may not be reflected in the Services.
(c) Posted signs, traffic-control devices, law-enforcement instructions, road-authority instructions, official permit routes, escort instructions, and actual physical roadway conditions always take precedence over Highway Miles. If Highway Miles conflicts with a posted sign, official instruction, permit, or observable roadway condition, you must disregard Highway Miles and follow the controlling authority or condition.
(d) You are solely responsible for obtaining and complying with all permits, oversize or overweight routing requirements, operating-authority requirements, carrier policies, and laws applicable to your vehicle and load. Highway Miles does not issue permits and a route displayed by Highway Miles is not an official permit route unless an authorized governmental authority separately designates it as such.
(e) A Highway Miles route is not authorization to enter or use any road, bridge, tunnel, facility, driveway, lane, parking area, private property, or other area that is restricted, closed, unsafe, physically impassable, or unlawful for your vehicle or load. If there is any doubt about clearance, access, legality, or safety, stop in a safe location and verify the condition through an authoritative source before proceeding.
6. DRIVING SAFETY AND NAVIGATION ACKNOWLEDGMENT.
(a) Do not hold, type into, configure, or otherwise interact with the application while operating a moving vehicle unless the interaction is lawful, safely performed through an appropriate hands-free method, or performed by a passenger. Stop in a safe and lawful location before making changes that require attention to the screen.
(b) Before navigation begins, Highway Miles displays the active truck profile and a safety notice. The notice is intended to remind you to verify the truck profile and route, follow posted signs and commercial-vehicle restrictions, consider actual roadway and clearance conditions, exercise independent driver judgment, and not proceed when a route appears unsafe or prohibited.
(c) By proceeding to start navigation after the active truck profile and safety notice are displayed, you acknowledge that: (i) Highway Miles is an advisory navigation aid; (ii) you remain responsible for safe and lawful operation of the vehicle; (iii) the truck profile must accurately represent the current vehicle and load; (iv) you are responsible for reviewing the route and complying with posted signs, permits, official instructions, and actual roadway conditions; and (v) you will not proceed solely because Highway Miles displays a route when the route appears unsafe, unlawful, restricted, or physically unsuitable.
(d) Rerouting, missed-turn detection, snapping, traffic refreshes, voice guidance, alerts, and similar features may be delayed, unavailable, or incorrect. Continue driving safely and lawfully even if the application does not immediately recognize your actual position or route.
7. MAPS, TRAFFIC, WEATHER, POINTS OF INTEREST, AND THIRD-PARTY DATA.
(a) The Services depend on third-party providers and data sources for maps, routing, traffic, geocoding, search, weather, restrictions, road attributes, points of interest, and other information. Highway Miles does not control all underlying data and cannot independently verify every road, restriction, clearance, closure, facility, or condition in real time.
(b) Traffic, incident, weather, road-condition, construction, parking, fuel, repair, scale, weigh-station, facility, and point-of-interest information may be delayed, estimated, incomplete, unavailable, or inaccurate. Highway Miles does not guarantee that a facility is open, accessible to your vehicle, has available parking, offers a listed amenity, or will accept a particular payment method or service request.
(c) Third-party services may be changed, suspended, rate-limited, or discontinued without Highway Miles' control. Some features may therefore change or become temporarily or permanently unavailable.
(d) Weather information provided through the Services is not an emergency-warning service and should not be relied upon as your sole source for severe-weather warnings. You are responsible for monitoring and following official weather alerts, emergency instructions, road closures, and other authoritative safety information.
(e) A displayed weigh-station status, inspection-facility status, or similar operational indication is informational only and is not authorization to bypass, avoid, or fail to enter an inspection facility. You must follow posted signs, signals, law-enforcement directions, inspection-facility instructions, and applicable law.
(f) Parking availability, truck access, business hours, entrances, docks, facility characteristics, listed amenities, and similar point-of-interest information are not guaranteed. Verify access, clearance, operating conditions, and other material information when necessary before entering private property or a constrained facility.
(g) The Services may allow you to open or use an external mapping application, imagery service, business website, review service, or other third-party service. When you choose to do so, information reasonably necessary to perform the requested action, such as a destination, coordinates, address, or business search, may be provided to that third party. The third party's own terms and privacy practices apply to its independent service.
8. NO EMERGENCY, ELD, HOURS-OF-SERVICE, PERMIT, OR REGULATORY-COMPLIANCE SERVICE.
(a) Unless Highway Miles expressly states otherwise for a specifically identified feature, the Services are not an emergency communications service, emergency-response system, electronic logging device (ELD), hours-of-service compliance system, permit-issuance system, legal-compliance service, or substitute for legally required records, permits, official routing instructions, or professional advice.
(b) You remain responsible for compliance with applicable federal, state, provincial, local, carrier, employer, permit, cargo, hazardous-material, vehicle, and roadway requirements.
9. ROUTE SHARING.
(a) Route sharing is optional. If you create or distribute a route-sharing link, you are responsible for deciding who receives it and for protecting the link from unintended disclosure. A person who obtains the link may be able to view the information made available through that share until the share expires or is ended.
(b) Route sharing is not an emergency-location service, fleet-compliance system, electronic logging device, or guarantee of continuous location availability. Network, device, permission, background-execution, or service interruptions may delay or prevent updates.
10. SUBSCRIPTIONS, BILLING, CANCELLATION, AND REFUNDS.
(a) Highway Miles may offer a paid subscription that removes third-party advertising or provides other described benefits. Subscription price, duration, trial terms, and renewal terms are displayed by the applicable app store or purchase interface before purchase.
(b) Subscriptions purchased through Apple are processed by Apple through StoreKit and the App Store. Subscriptions purchased through Google Play are processed by Google Play Billing. Unless the applicable store states otherwise, auto-renewable subscriptions renew until canceled through the store account that made the purchase.
(c) You are responsible for managing or canceling renewal through the applicable app store. Deleting a Highway Miles account, uninstalling the application, or ceasing to use the Services does not necessarily cancel an app-store subscription. You should separately cancel the subscription through Apple or Google if you do not want it to renew.
(d) Refund eligibility for purchases processed by Apple or Google is governed by the applicable store's rules and applicable law. Highway Miles does not receive full payment-card information for App Store or Google Play purchases and generally cannot directly reverse a transaction that the applicable store controls.
(e) Highway Miles may change subscription offerings or prices prospectively as permitted by the applicable store and law. Any required notice or consent for an auto-renewing price change will be handled through the applicable platform or another legally sufficient method.
11. ADVERTISING AND MEASUREMENT.
(a) Users without an active ad-free entitlement may be shown third-party advertising. Advertising, attribution, analytics, and measurement providers may process information as described in the Highway Miles Privacy Policy and according to applicable platform permissions and privacy choices.
(b) Highway Miles does not guarantee the content, availability, accuracy, quality, or suitability of any third-party advertisement, advertiser, product, or service. Any transaction or interaction with an advertiser is between you and the advertiser unless Highway Miles expressly states otherwise.
12. USER SUBMISSIONS, FEEDBACK, AND CORRECTIONS.
(a) You may choose to submit support messages, feedback, photos, map or point-of-interest corrections, driver reports, or other content. You represent that you have the right to submit that material and that it does not violate law or the rights of another person.
(b) To the extent necessary to operate and improve the Services, you grant Highway Miles a worldwide, non-exclusive, royalty-free license to host, reproduce, process, analyze, modify for technical or editorial purposes, and use User-submitted content in connection with providing, maintaining, securing, correcting, and improving the Services. This license does not change the treatment of Personal Data described in the Privacy Policy.
(c) Highway Miles may decline, remove, correct, or disregard submitted content and does not guarantee that a requested map, point-of-interest, routing, or data correction will be adopted.
13. PRIVACY.
(a) Highway Miles' collection, use, disclosure, and retention of Personal Data is described in the Highway Miles Privacy Policy. The Privacy Policy is incorporated into these Terms by reference for purposes of describing the Company's data practices.
(b) Location access is necessary for core navigation functionality. Disabling required permissions or device services may prevent or materially limit routing, navigation, route sharing, alerts, or other location-dependent functionality.
14. ACCEPTABLE USE.
(a) You may not use the Services to violate law; facilitate fraud or abuse; harass or threaten others; infringe intellectual-property or privacy rights; distribute malware; attempt unauthorized access; interfere with networks or systems; bypass security or usage restrictions; scrape or extract protected data at scale; or use the Services in a manner reasonably likely to damage, overload, or disrupt Highway Miles or its providers.
(b) You may not use Highway Miles routing or location features to stalk, unlawfully monitor, or endanger another person.
15. SERVICE AVAILABILITY AND CHANGES.
(a) Highway Miles may add, modify, suspend, limit, or discontinue features, data sources, providers, interfaces, or portions of the Services. The Services may be unavailable because of maintenance, outages, device limitations, network conditions, third-party failures, legal requirements, or other causes.
(b) Highway Miles may deploy software updates, including changes intended to improve safety, routing, security, privacy, compatibility, or reliability. Some updates may be required to continue using the Services.
16. DISCLAIMERS OF WARRANTIES.
(a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HIGHWAY MILES AND ITS LICENSORS, DATA PROVIDERS, AND SERVICE PROVIDERS DISCLAIM EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND ERROR-FREE OPERATION.
(b) WITHOUT LIMITING THE FOREGOING, HIGHWAY MILES DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF MAPS, ROAD ATTRIBUTES, TRAFFIC, WEATHER, ROAD CONDITIONS, DIRECTIONS, ROUTES, BRIDGE CLEARANCES, TRUCK RESTRICTIONS, CLOSURES, TURNS, FACILITY ACCESS, POINTS OF INTEREST, PARKING AVAILABILITY, OR OTHER NAVIGATION INFORMATION.
(c) SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
17. LIMITATION OF LIABILITY.
(a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHWAY MILES, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, DATA PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS OR REVENUE; LOSS OF DATA; BUSINESS INTERRUPTION; LOST LOAD OR DELIVERY OPPORTUNITIES; MISSED APPOINTMENTS; DETENTION OR DELAY COSTS; TOWING OR RECOVERY COSTS; FUEL COSTS; CARGO LOSS; FINES, PENALTIES, OR CITATIONS; OR SIMILAR ECONOMIC LOSSES ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
(b) TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHWAY MILES WILL NOT BE LIABLE FOR A COLLISION, BRIDGE OR STRUCTURE STRIKE, PROPERTY DAMAGE, PERSONAL INJURY, ROUTE RESTRICTION VIOLATION, PERMIT VIOLATION, ROAD CLOSURE, MISSED TURN, UNSUITABLE ROAD, FACILITY ACCESS PROBLEM, OR OTHER EVENT TO THE EXTENT CAUSED BY RELIANCE ON A ROUTE OR NAVIGATION INFORMATION INSTEAD OF POSTED SIGNS, OFFICIAL REQUIREMENTS, ACTUAL ROADWAY OR CLEARANCE CONDITIONS, OR THE DRIVER'S PROFESSIONAL JUDGMENT, OR BY A FAILURE TO MAINTAIN AN ACCURATE TRUCK PROFILE, REVIEW THE ROUTE TO THE EXTENT REASONABLY POSSIBLE, FOLLOW OFFICIAL RESTRICTIONS, OR COMPLY WITH APPLICABLE PERMIT OR LEGAL REQUIREMENTS.
(c) TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHWAY MILES' TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID DIRECTLY FOR HIGHWAY MILES SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (ii) ONE HUNDRED U.S. DOLLARS (US $100).
(d) NOTHING IN THIS SECTION EXCLUDES OR LIMITS LIABILITY FOR HIGHWAY MILES' GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR ANY PERSONAL-INJURY, PRODUCT-LIABILITY, STATUTORY, CONSUMER-PROTECTION, OR OTHER LIABILITY TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT THAT LIABILITY TO BE EXCLUDED OR LIMITED.
18. INDEMNIFICATION.
To the extent permitted by law, you agree to indemnify and hold harmless Highway Miles and its officers, owners, employees, contractors, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, your infringement of another person's rights, or your knowing use of an inaccurate truck profile or route in violation of Sections 4 through 6. This obligation does not require you to indemnify Highway Miles for liability caused solely by Highway Miles' own conduct to the extent such indemnification is prohibited by law.
19. SUSPENSION AND TERMINATION.
(a) You may stop using the Services at any time. Account deletion is available as described in the Privacy Policy and the account-deletion instructions on the Highway Miles website. Canceling an app-store subscription and deleting a Highway Miles account are separate actions.
(b) Highway Miles may suspend or terminate access to the Services where reasonably necessary because of a material violation of these Terms, fraud, abuse, security risk, legal requirement, nonpayment of an applicable charge, or conduct that threatens the Services or another person.
(c) Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, limitation-of-liability, indemnification, dispute, and miscellaneous provisions.
20. DISPUTE RESOLUTION — INFORMAL RESOLUTION, ARBITRATION, CLASS-ACTION WAIVER, AND OPT-OUT.
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE EXCEPTIONS BELOW, IT REQUIRES INDIVIDUAL BINDING ARBITRATION AND WAIVES THE RIGHT TO A JURY TRIAL OR CLASS ACTION.
20.1 Informal Resolution First. Before filing arbitration or litigation, the party asserting a dispute must provide the other party with written notice describing the dispute and requested relief and allow at least thirty (30) days for a good-faith effort to resolve it. Notices to Highway Miles must be sent to [email protected] with the subject “Legal Dispute Notice.” This requirement does not apply when emergency injunctive relief is reasonably necessary or when a limitations period would expire before the 30-day period ends.
20.2 Small Claims Court. Either party may bring an eligible individual claim in small claims court instead of arbitration, provided the claim remains within that court’s jurisdiction and proceeds only on an individual basis.
20.3 Binding Individual Arbitration. Except for small-claims matters and claims expressly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your account, or the relationship between you and Highway Miles will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”). For a dispute arising from an individual User’s personal or consumer use, the AAA Consumer Arbitration Rules then in effect will apply. For a dispute involving a business entity or non-consumer commercial use to which the Consumer Rules do not apply, the AAA Commercial Arbitration Rules then in effect will apply. AAA may determine the administratively applicable rule set, subject to the Federal Arbitration Act, these Terms, and applicable law.
The Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of this arbitration agreement.
The arbitrator will be neutral and selected pursuant to AAA procedures. Highway Miles will not unilaterally select the arbitrator.
Unless the parties agree otherwise, a consumer arbitration may be conducted remotely, on written submissions, or in or near the county where you reside, consistent with AAA rules and applicable law. For consumer arbitration, fees will be allocated under the AAA Consumer Arbitration Rules, and Highway Miles will pay any amount that applicable law or AAA consumer standards require it to pay. For non-consumer commercial arbitration, fees will be allocated under the applicable AAA Commercial Arbitration Rules and fee schedule.
20.4 Arbitrator Authority. The arbitrator may award the same individual remedies that a court could award, subject to these Terms and applicable law. The arbitrator must issue a reasoned award if either party timely requests one. Judgment on an arbitration award may be entered in any court of competent jurisdiction.
Questions concerning whether an arbitration agreement was ever formed or whether a party validly opted out will be decided by a court unless applicable law requires otherwise. Other questions of arbitrability may be decided as provided by the FAA and incorporated AAA rules.
20.5 Individual Proceedings Only — Class-Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND HIGHWAY MILES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION.
The arbitrator may not combine claims of different Users or preside over a class or representative proceeding unless both parties expressly agree in writing after the dispute arises.
If applicable law prohibits enforcement of this waiver with respect to a particular form of relief, that request for relief will be severed and handled in court to the minimum extent required by law, while arbitrable claims remain subject to arbitration.
20.6 Public Injunctive Relief. Nothing in these Terms is intended to waive a right to seek public injunctive relief where applicable law prohibits such a waiver. If applicable law requires a claim or request for public injunctive relief to proceed in court rather than arbitration, that claim or remedy will proceed in court to the extent required by law, while arbitrable individual claims remain subject to arbitration to the fullest extent permitted.
20.7 Jury-Trial Waiver. FOR ANY DISPUTE PROPERLY RESOLVED BY ARBITRATION, YOU AND HIGHWAY MILES WAIVE THE RIGHT TO A TRIAL BY JURY.
20.8 Intellectual-Property and Security Relief. Either party may seek temporary or preliminary injunctive relief in court to prevent actual or threatened infringement or misappropriation of intellectual property, unauthorized access, cybersecurity attacks, or misuse that could cause immediate irreparable harm, without waiving arbitration of underlying claims where arbitration otherwise applies.
20.9 Right to Opt Out of Arbitration. You may opt out of this arbitration agreement by sending an email to [email protected] within thirty (30) days after this arbitration provision first becomes effective as to you. For a new User who affirmatively accepts these Terms, that period begins on the date of acceptance. For an existing User to whom this arbitration provision is introduced through a revised version of the Terms, that period begins when the revised Terms become effective as to that User under Section 21. The subject must state “Arbitration Opt-Out.” Your notice must include the name and email associated with your Highway Miles account and a clear statement that you opt out of the Highway Miles arbitration agreement.
Opting out of arbitration will not affect your ability to use Highway Miles and will not affect the remaining Terms. An opt-out applies only to the person or account identified in the notice.
20.10 Existing Disputes and Future Arbitration Changes. A material change to this arbitration section will apply prospectively and will not retroactively alter the dispute-resolution rules governing a dispute that arose before the change became effective. Highway Miles will provide notice of material arbitration changes as described in Section 21 and will obtain renewed affirmative acceptance where applicable law specifically requires it.
20.11 If AAA Is Unavailable. If AAA cannot or will not administer an arbitration consistent with these Terms and applicable AAA due-process standards, the parties will attempt in good faith to select another neutral arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an arbitrator or determine the appropriate forum as permitted by the FAA.
20.12 Mass Arbitration. If AAA determines that its Mass Arbitration Supplementary Rules apply to multiple substantially similar individual arbitration demands involving Highway Miles, those Supplementary Rules, together with the otherwise applicable AAA Consumer or Commercial Arbitration Rules and fee schedules, will govern administration of those matters.
20.13 Governing Law and Court Venue. Except for this arbitration agreement, which is governed by the FAA, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except to the extent mandatory consumer-protection law requires otherwise. For a dispute that is not subject to arbitration and is not properly brought in small claims court elsewhere under this Section 20, you and Highway Miles consent to the personal jurisdiction of the state or federal courts located in or serving Denton County, Texas, except where applicable law requires a different venue.
20.14 Non-Waivable Consumer Rights. Nothing in these Terms is intended to waive or restrict any right, remedy, statutory warranty, refund right, venue right, or consumer protection that applicable law makes non-waivable, including rights under the Texas Deceptive Trade Practices—Consumer Protection Act where an attempted waiver would be prohibited or ineffective. If a provision of these Terms conflicts with a mandatory consumer-protection requirement, the mandatory requirement controls to the extent of that conflict.
21. CHANGES TO THESE TERMS.
(a) Highway Miles may update these Terms as the Services, app-store requirements, laws, providers, safety practices, or business operations change. The “Last Updated” date will be changed when the Terms are revised.
(b) If Highway Miles makes a material change to these Terms, Highway Miles will make reasonable efforts to notify affected Users through the application, by email to the address associated with the User’s account, through the Highway Miles website, or by another reasonably conspicuous electronic method. Unless applicable law requires renewed affirmative acceptance, a material change will become effective as to an existing User on the earlier of: (i) the User’s first use of the Services after receiving actual notice that the revised Terms will govern continued use; or (ii) thirty (30) days after the revised Terms are posted and made reasonably available to the User. Continued use of the Services after the applicable effective date constitutes acceptance of the revised Terms.
(c) For non-material changes, including clarifications, corrections, formatting changes, or updates that do not materially reduce a User’s rights or materially increase a User’s obligations, Highway Miles may make the change effective when posted or on a later stated effective date and may provide notice through the application, website, email, or another appropriate method.
(d) Revised Terms apply prospectively. A revision will not retroactively eliminate rights, impose new obligations, or alter the dispute-resolution rules governing a dispute that arose before the revision became effective, except to the extent applicable law expressly permits otherwise. If you do not agree to revised Terms, you must stop using the Services and, if applicable, cancel any subscription separately through the app store that manages the subscription.
(e) Nothing in this Section eliminates any separate notice, consent, or renewed affirmative-acceptance requirement imposed by applicable law or an applicable app-store rule. Where such a requirement applies, Highway Miles will comply with it before the affected change becomes binding.
22. MISCELLANEOUS.
(a) These Terms, together with the Privacy Policy and any applicable app-store license or purchase terms, constitute the agreement governing your use of the Services with respect to their subject matter. If a provision is held invalid or unenforceable, the remaining provisions remain in effect and the invalid provision will be enforced to the maximum extent permitted by law.
(b) Highway Miles' failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without Highway Miles' written consent. Highway Miles may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or transfer of the Services or business.
(c) Notices from Highway Miles may be provided electronically through the application, by email to the address associated with your account, through the Highway Miles website, or by another reasonable electronic method. You are responsible for keeping your account contact information current.
(d) Highway Miles will not be responsible for delay, interruption, or failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbances, labor disruptions, internet or telecommunications outages, GPS outages or degradation, cloud or third-party-provider outages, cyberattacks, government actions, transportation disruptions, or widespread infrastructure failures, except to the extent applicable law provides otherwise. Nothing in this paragraph excuses a refund, payment, consumer, or other obligation to the extent applicable law prohibits such an excuse.
